IMPORTANT NOTICE: ARBITRATION AND CLASS ACTION WAIVER
PLEASE READ THESE TERMS OF SERVICE CAREFULLY. SECTION 14 CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS WITH RESPECT TO ANY DISPUTE RELATING TO OR ARISING FROM YOUR USE OF THE SERVICE, EXCEPT WHERE PROHIBITED BY APPLICABLE JURISDICTIONAL LAW.
1. Acceptance of Terms & Eligibility
By downloading, installing, compiling, accessing, browsing, or utilizing the Synapse Search browser extension (Chrome, Brave, Edge, Arc, or other compatible Chromium browsers), the TabSynapse web portal located at tabsynapse.com, or any affiliated scripts, APIs, or utilities, you ("User", "you", or "your") enter into a legally binding contract with Synapse and agree to comply unconditionally with these Terms of Service ("Terms") and our Privacy Policy, incorporated herein by reference.
If you are entering into these Terms on behalf of an entity, corporation, partnership, or organization, you represent and warrant that you possess full legal authority to bind that entity to these Terms. If you do not possess such authority, or if you do not agree to every provision of these Terms, you must immediately cease accessing the Service and uninstall the extension.
Eligibility
You affirm that you are at least eighteen (18) years of age, or have attained the age of legal majority in your jurisdiction, and are fully capable and competent to enter into the terms, conditions, obligations, representations, and warranties set forth herein. The Service is not intended for or directed to individuals under thirteen (13) years of age (or under sixteen (16) years of age in the European Economic Area or UK).
2. Sovereign Local-First Architecture & Service Scope
Synapse Search provides an instant 0ms deterministic query resolver, high-speed calculation matrix, unit converter, local productivity workstations (Wordpad, Sovereign Notes, Intelligent Calendar), web companion co-pilot, and synthesized artificial intelligence search interface for desktop web browsers.
Local-First Paradigm
You acknowledge and understand that the Service is architected as a local-first client application:
- All client-side mathematical evaluations, unit conversions, timezone conversions, currency calculations, and lexicon retrievals execute deterministically within your browser’s isolated JavaScript (V8) runtime environment.
- Data saved within the Workstations (including notes, documents, bookmarks, custom folders, and calendar schedules) is persisted directly within your local browser storage (
chrome.storage.localand IndexedDB). - Synapse does not maintain user account registries, central authentication databases, or remote profile synchronization servers. You are solely responsible for maintaining backups of your local browser data.
3. Bring Your Own Key (BYOK) & Third-Party Model Providers
The Service grants users the option to connect external AI model inference providers (e.g., OpenRouter, OpenAI, Anthropic, DeepSeek, Google, Perplexity, or custom OpenAI-compatible endpoints) via their own privately acquired Application Programming Interface keys ("BYOK Keys").
Third-Party Relationship & Billing Shield
- Pass-Through Nature: When using BYOK Keys, the Service acts exclusively as a client-side interface that constructs HTTP/WebSocket payloads and transmits them directly to your designated endpoint. Synapse is not an intermediary, broker, resale agent, or billing collector for third-party inference services.
- Accountability for Costs: You are solely and exclusively responsible for all financial costs, token charges, subscription fees, overages, rate limits, credit card charges, or account suspensions incurred with any third-party provider resulting from your use of BYOK Keys within the Service.
- Third-Party Compliance: You represent and warrant that your use of external API keys strictly adheres to the applicable Terms of Service, Acceptable Use Policies, and rate restrictions of the respective third-party providers.
- Zero Key Escrow: Your BYOK Keys are encrypted client-side using Advanced Encryption Standard in Galois/Counter Mode with a 256-bit key (AES-GCM-256) and stored solely in your local browser storage. Synapse does not store, transmit to our servers, or escrow your keys under any circumstances. You bear full responsibility for safeguarding your keys.
4. User Ownership of Content & Intellectual Property
Your Content Belongs to You
- Zero Proprietary Assertion: Synapse claims zero ownership, title, copyright, or intellectual property rights over the queries you input, the documents you author in Wordpad or Sovereign Notes, the calendar events you schedule, or the code you analyze or format using the Service.
- No Model Training on User Data: We do not collect, aggregate, inspect, or utilize your private documents, local notes, or personal queries to train, fine-tune, or calibrate any machine learning, neural network, or large language models.
- Output Rights: To the fullest extent permissible by governing law, you own and retain all rights, title, and interest in and to the specific outputs, summaries, and synthesized text generated through your use of the Service, subject to the intellectual property rights of underlying public sources or third-party model providers.
Synapse Intellectual Property
The trademarks, service marks, brand logos (including the SynapseMark SVG glyph lockup), original source code, user interface designs, visual styling, compilation layouts, custom CSS animations, and deterministic calculation algorithms are the exclusive intellectual property of Synapse and its licensors. Except as expressly licensed herein, no right, title, or license is granted to you by implication or estoppel.
5. Acceptable Use Policy (AUP)
You agree to use the Service strictly in compliance with all applicable municipal, state, national, and international laws, statutes, treaties, and regulations. You specifically agree NOT to:
- Unlawful Exploitation: Utilize the Service to author, distribute, generate, or execute malicious software, computer viruses, ransomware, denial-of-service tools, or automated exploitation scripts.
- Harmful Content Generation: Generate or disseminate material that promotes child sexual exploitation or abuse, non-consensual sexual content, imminent physical violence, self-harm incitement, biological or chemical weapons manufacturing, or terrorism.
- Infringement of Third-Party Rights: Upload, synthesize, or process text, code, or documentation in a manner that infringes, misappropriates, or violates the trademark, copyright, trade secret, privacy, or moral rights of any third party.
- Security Circumvention & Infrastructure Attacks: Engage in automated burst attacks, denial-of-service flooding, or malicious query flooding designed to exhaust, degrade, or bypass the client-side rate limiters or free gateway infrastructure provided for public convenience.
- Decompilation Restrictions: Reverse-engineer, decompile, or disassemble binary distribution artifacts of the Software, except to the extent that applicable governing law expressly prohibits such contractual restriction.
- Impersonation & Fraud: Misrepresent the origin of outputs generated by the Service or falsely claim that AI-synthesized content is human-authored where disclosure is mandated by law.
6. Crucial Disclaimers: No Professional Advice
THE SERVICE IS DESIGNED AS AN ALGORITHMIC AND SYNTHESIZED PRODUCTIVITY CO-PILOT. IT DOES NOT DISPENSE PROFESSIONAL COUNSEL.
1. No Legal Advice
Nothing generated, displayed, calculated, or synthesized by the Service (including document summaries, contractual clause breakdowns, statutory citations, or ambient legal sentinel findings) constitutes legal advice, formal legal opinion, or the establishment of an attorney-client relationship. Laws vary significantly across jurisdictions, and legal conclusions depend on specific factual circumstances. Always consult a qualified, licensed attorney for legal counsel.
2. No Financial or Investment Advice
Synapse Search, Synapse Markets, and affiliated currency, equity, and market matrix modules provide general mathematical approximations, historical conversions, and synthetic market telemetry for educational and informational purposes only. The Service does not provide investment, securities, financial, tax, accounting, or real estate advice. You are solely responsible for verifying exchange rates, commodity valuations, and financial figures before executing any monetary transaction.
3. No Medical or Health Advice
Outputs generated by the Service must never be utilized as a substitute for professional medical advice, clinical diagnosis, therapeutic treatment, or emergency intervention. Always consult a licensed physician or medical professional regarding health conditions.
4. Non-Deterministic AI Hallucinations
You acknowledge that large language models and generative AI systems generate statistical approximations and may occasionally produce factually inaccurate, outdated, biased, incomplete, or misleading information ("hallucinations"). You are solely responsible for independently verifying all critical factual assertions before relying upon them.
7. Third-Party Web Grounding & External Links
When using Grounded Web Search, the Service retrieves public search results, snippets, and transparent citations from external internet sources, websites, and indices.
- Synapse exercises no control over, and assumes no responsibility for, the content, accuracy, privacy practices, terms of service, or operational uptime of any third-party websites or services linked to or cited by the Service.
- The inclusion of any link, domain leap, or citation within the Service does not imply an endorsement, affiliation, sponsorship, or recommendation by Synapse.
- Accessing any external site is undertaken entirely at your own risk.
8. Warranty Disclaimer ("AS IS" & "AS AVAILABLE")
TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW:
- THE SERVICE, SOFTWARE, EXTENSION, DOCUMENTATION, AND ALL EMBEDDED CALCULATORS AND MODELS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND DEFECTS.

- THE SYNAPSE PARTIES MAKE NO WARRANTY OR REPRESENTATION THAT:
- THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS;
- THE OPERATION OF THE SERVICE WILL BE SECURE, CONTINUOUS, UNINTERRUPTED, TIMELY, OR ERROR-FREE;
- THE ALGORITHMIC CALCULATIONS, SYNTHESIZED RESEARCH, OR FX CONVERSIONS WILL BE ENTIRELY ACCURATE, EXHAUSTIVE, OR FREE FROM DATA LOSS;
- ANY DEFECTS, GLITCHES, OR SOFTWARE BUGS WILL BE CORRECTED.
- ANY MATERIAL, SCRIPT, EXTENSION ASSET, OR DOCUMENTATION DOWNLOADED OR ACQUIRED THROUGH THE USE OF THE SERVICE IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTING DEVICE, CORRUPTION OF OPERATING SYSTEM FILES, OR LOSS OF STORED BROWSER DATA RESULTING THEREFROM.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE JURISDICTIONAL LAW:
- EXCLUSION OF CONSEQUENTIAL DAMAGES: IN NO EVENT SHALL THE SYNAPSE PARTIES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR RELIANCE DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF ACTUAL OR ANTICIPATED PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS OPPORTUNITY, LOSS OF REPUTATION, GOODWILL DAMAGE, BUSINESS INTERRUPTION, LOSS OR CORRUPTION OF LOCAL DATA, COMPUTER FAILURE, TOKEN OVERAGE CHARGES, API BILLING DISPUTES, OR THE COST OF PROCURING SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE USE OF OR INABILITY TO USE THE SERVICE, EVEN IF SYNAPSE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE LEGAL OR EQUITABLE THEORY (WHETHER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE, INDEMNITY, OR OTHERWISE) UPON WHICH THE CLAIM IS BASED.
- AGGREGATE MONETARY CAP: IN NO EVENT SHALL THE TOTAL CUMULATIVE LIABILITY OF THE SYNAPSE PARTIES FOR ALL CLAIMS, LOSSES, DAMAGES, JUDGMENTS, SUITS, COSTS, AND LEGAL EXPENSES ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF:
- (A) THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO SYNAPSE FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR
- (B) FIFTY UNITED STATES DOLLARS ($50.00 USD).
- ESSENTIAL PURPOSE: YOU ACKNOWLEDGE AND AGREE THAT THIS SECTION 9 REPRESENTS A FUNDAMENTAL ALLOCATION OF RISK AND THAT SYNAPSE WOULD NOT PROVIDE THE SOFTWARE OR SERVICE FOR FREE WITHOUT THESE STRICT LIMITATIONS OF LIABILITY.
10. Indemnification
You agree to defend, indemnify, and hold harmless the Synapse Parties from and against any and all third-party claims, demands, liabilities, damages, losses, fines, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or directly related to:
- Your violation or breach of any provision, covenant, or warranty in these Terms;
- Your violation of any applicable federal, state, or international law, rule, or regulation;
- Your unauthorized, unlawful, or negligent use of the Service;
- Any claim that content, prompts, or documents you submitted, generated, or processed violated or infringed the copyright, trademark, trade secret, privacy, or intellectual property rights of any third party;
- Any dispute, chargeback, overage, or claim between you and any third-party AI provider regarding your BYOK Keys.
Synapse reserves the right, at its own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate fully with Synapse in asserting all available defenses.
11. Termination & Survival
Termination by You
You may terminate this contractual agreement at any time and for any reason by discontinuing all use of the Service and permanently uninstalling the Synapse Search extension from all browsers.
Termination by Synapse
Synapse reserves the unilateral right, without prior notice, liability, or cause, to suspend, limit, discontinue, or terminate your access to any public free-tier gateway, updates, or web portal endpoints if we reasonably determine that you have violated these Terms, engaged in abusive flood requests, or endangered the security or integrity of the platform.
Survival
All sections of these Terms which by their nature should survive termination shall survive termination, including without limitation: Section 4 (Intellectual Property), Section 6 (Crucial Disclaimers), Section 8 (Warranty Disclaimer), Section 9 (Limitation of Liability), Section 10 (Indemnification), Section 14 (Binding Arbitration & Class Action Waiver), and Section 15 (General Provisions).
12. Export Control & Sanctions Compliance
You represent and warrant that:
- You are not located in, under the control of, or a national or resident of any country or territory subject to comprehensive sanctions or trade embargoes administered by the United States Government (including the U.S. Office of Foreign Assets Control - OFAC), the United Kingdom, or the European Union;
- You are not identified on any denied, debarred, or restricted party list, including the U.S. Specially Designated Nationals (SDN) List or Entity List;
- You will not export, re-export, transfer, or release the Software or any underlying technical data in violation of applicable export administration regulations.
13. Modifications to the Service and Terms
Synapse continuously enhances and iterates its client software. We reserve the right to modify, update, refine, or discontinue any feature, cartridge, or model option within the Service at any time without advance notice.
We reserve the right to amend these Terms at our sole discretion. When modifications are made, we will update the "Last Revised" date at the top of this document and publish the revised version at https://tabsynapse.com/terms.html. Your continued access or use of the Service following the publication of revised Terms establishes your binding acceptance of such changes. If you do not accept the revised Terms, your sole remedy is to cease using the Service.
14. Mandatory Binding Arbitration & Class Action Waiver
PLEASE READ THIS SECTION WITH HEIGHTENED SCRUTINY. IT MANDATES ARBITRATION OF DISPUTES AND LIMITS YOUR ABILITY TO PARTICIPATE IN CLASS OR REPRESENTATIVE ACTIONS.
1. Mandatory Informal Dispute Resolution
Prior to initiating any formal arbitration or legal proceeding, you and Synapse agree to attempt in good faith to resolve any claim, controversy, or dispute arising out of or relating to these Terms or the Service ("Dispute") informally. The initiating party must send a written Notice of Dispute via certified email to legal@tabsynapse.com. The Notice must detail: (a) the claimant’s full name and contact information; (b) a factual description of the nature and basis of the dispute; and (c) the specific relief sought. Both parties agree to negotiate in good faith for a period of thirty (30) calendar days from receipt of the Notice before initiating formal arbitration.
2. Binding Arbitration Agreement
If the Dispute cannot be resolved through informal negotiations within thirty (30) days, the Dispute shall be resolved exclusively by final, binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, or by JAMS, except as modified by this Section. The arbitration shall be conducted before a single neutral arbitrator. The Federal Arbitration Act (9 U.S.C. §§ 1-16) governs the interpretation and enforcement of this arbitration agreement.
3. Arbitration Venue & Language
Unless both parties mutually agree otherwise in writing, any in-person arbitration hearings will take place in the county or jurisdiction of your primary residence, or virtually via secure videoconference. The arbitration proceedings shall be conducted exclusively in the English language. The arbitrator’s award shall be final, non-appealable (except on grounds recognized under the Federal Arbitration Act), and may be entered as a judgment in any court possessing competent jurisdiction.
4. CLASS ACTION AND REPRESENTATIVE WAIVER
TO THE FULLEST EXTENT PERMISSIBLE UNDER GOVERNING LAW, YOU AND SYNAPSE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS REPRESENTATIVE, OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR REPRESENTATIVE PROCEEDING.
THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS, AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING UNLESS ALL PARTIES EXPRESSLY AGREE IN WRITING.
5. Exceptions to Arbitration
Notwithstanding the foregoing, either party retains the right to:
- Seek relief in a small claims court of competent jurisdiction for individual claims within that court's jurisdictional monetary limit;
- Seek emergency injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, trade secrets, or computer system security breaches.
15. General Legal Provisions
- Governing Law & Jurisdiction: These Terms and any dispute arising out of or related thereto shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of laws principles. To the extent any claim is permitted to proceed in court outside arbitration, the parties consent to the exclusive personal jurisdiction and venue of the state and federal courts situated in the State of Delaware.
- Severability: If any provision, clause, or sentence of these Terms is held to be invalid, illegal, or unenforceable by an arbitrator or court of competent jurisdiction, that provision shall be reformed to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of these Terms shall continue in full force and effect.
- No Waiver: No waiver by Synapse of any term, condition, or breach of these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or breach.
- Entire Agreement: These Terms, together with the Privacy Policy and any official software notices published by Synapse, constitute the entire, integrated agreement between you and Synapse regarding the Service and supersede all prior or contemporaneous communications, proposals, representations, and agreements, whether oral or written.
- Assignment: You may not assign, transfer, or delegate these Terms or any of your rights or obligations hereunder without our prior written consent. Synapse may freely assign its rights and obligations under these Terms without restriction.
